Irish companies require at least two individuals over the age of 18 to act in the capacity of director, at least one director must be resident within the EU.
The Companies Registration Office will actively discourage the appointment of anyone under the age of 18 from being a company director on the grounds that the individuals concerned may not fully understand the legal liabilities and will not have the necessary experience to perform the duties of a company director.
The directors constitute the decision making body of a company known as the board of directors and are liable at law for a company's actions.
The directors have a duty of care to the shareholderc of the company and to act in the company's best interests, even where doing so might come into conflict with their own personal interests.
