Key Features of Companies in Ireland – Steps to Incorporate

The first step to incorporate is check the availability of your proposed company name, which we undertake straight away.

company name Company Name

This is the name of your business. There are some restrictions, the main one being that it must be unique..

company name Company Registered Office

This is the Registered address of your company in Ireland where all official documents are served and is viewed on public record.  We provide the Registered Office for your Irish Company.

company directors Company Directors

Irish companies require the first name, family name, residential address, date of birth, nationality, occupation and any other directorships of each director, who must be over the age of 18. It is required that at least one director has permanent residence in the EU. If you cannot provide a resident director in the EU a Non-Resident Director Bond can be put in place.

company secretary Company Secretary

Irish companies are required to have a company secretary who has the legal duty of filing all required documents and accounts. We can act as the Company Secretary for your Irish Company.

principal objects Principal Activities

Companies’ principal activity outlined in the application to incorporate are given a corresponding NACE code. We do this for you, we just need the principal activity of your company. You can list more than one activity; the NACE code is assigned to the principal activity which is used for statistical purposes.

principal objects Personal Public Service (PPS)

The Companies (Corporate Enforcement Authority) Act 2021 contains a provision requiring the director’s and shareholders of Irish companies to provide their Personal Public Service (PPS) number on documents submitted to the Companies Registration Office to allow for verification of the officer’s identity.

If a director, beneficial owner does not have an Irish PPS number, they must apply for a Identified Personal Number (IPN).

The application form must state the officers name, date of birth, nationality, and address, and it must be sworn in the presence of a notary in the persons home country.

If a director, shareholder does not have a PPS number but has previously been issued a Register of Beneficial Ownership number for filings made with the Central Registrar of Beneficial Owners, then that person can use their RBO number as their IPN for CRO filings.
